Criteria for Consideration of Proposals to License or Use Our Logos, Trademarks, Trade Names, Images or Trade Dress

Kansas City Southern's (KCS) policy with respect to the use of its trade name and logo is to cooperate with legitimate film production companies, television studios, Internet web site designers, co-marketers, historians and advertising agencies in such use as a means of encouraging and increasing KCS' visibility to the public. KCS will generally approve a proposal and will enter into a license agreement with the user if the proposed use satisfies the following criteria:

The proposed use of KCS' or its affiliates' logos, trade names, trade marks, images or trade dress (hereinafter ``Licensed Image") is for the benefit of a non-profit project or charity or, if the use is for the benefit of a commercial project, the use must be incidental and appropriate in tone and scope.

The proposed use of KCS' Licensed Image must portray the Company and the role of rail service positively.

The proposal or project should not contain images or dialogue that violate safety rules and regulations or depict unsafe behavior. We will consider proposals that violate this criteria if the use is for instructional purposes and the danger of the unsafe behavior is clearly illustrated.

The proposal provides that the proposed use of the Licensed Image shall be subject to KCS' prior review and approval of the use of the Licensed Image, including the right of script/story board approval of the railway-related segments of the Projects prior to any filming or photography pursuant to the industry filming guidelines. After initial approval, all changes to and/or additions of photographs/script/story board scenes or dialogue involving any aspect of railway service (and only such scenes or dialogue) must be approved in advance by KCS, even if such changes or additions are made after filming has been complete. In the event such proposed changes or additions are disapproved by KCS, any prior licensing agreement shall terminate automatically; and no photograph, film or sound recording made or produced may thereafter be used by Licensee; and railway shall not be obligated to refund any amounts paid by Licensee. In the event of termination of the license agreement, KCS shall not be obligated to refund any amounts paid to it by licensee.

If a filming company or production house enters into a license agreement with KCS, no footage can be digitally altered to change the image or story board at a later date.

Advertising filmed on KCS' rights-of-way must not violate the Federal Trade Commission's policy on deceptive advertising. An act or practice is considered deceptive by the FTC if there is a misrepresentation, omission, or other practice that misleads the consumer from acting reasonably under the circumstances, to the consumer's detriment.
